Company shall track and report to Affiliate the number of successful referrals and commissions earned by Affiliate on a regular basis. Company reserves the right to modify the commission rate, payment terms, or other aspects of the Affiliate Program at any time, with reasonable notice provided to Affiliate.

This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon 30 days' written notice to the other party. Either party may terminate this Agreement immediately in the event of a material breach by the other party. Upon termination of this Agreement, Affiliate shall cease all promotion and marketing activities related to the Services and remove any Company materials from Affiliate's marketing channels.

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party in connection with this Agreement. Affiliate agrees not to disclose Company's confidential information to any third party without Company's prior written consent.

Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the parties. If a resolution cannot be reached, the parties agree to submit to the exclusive jurisdiction of the courts of [Jurisdiction].
